Acceptable Use Policy

This Acceptable Use Policy (“Policy”) sets out the rules that apply to everyone who accesses or uses the Ansarada Services (defined below). It forms part of, and must be read together with, our Terms (defined below). In this Policy, ‘we’, ‘us’ and ‘our’ refer to Ansarada, and ‘you’ and ‘your’ refer to any person who accesses or uses the Ansarada Services, including our customers, any individual invited to a Transaction Room, and any organisation on whose behalf that person accesses or uses the Ansarada Services.

Compliance with Laws and Regulations

Your use of our websites, online virtual data rooms and services, Ansarada Intelligent Deal Assistant and other products and services we provide (the “Ansarada Services”) must not violate any applicable laws, including but not limited to intellectual property laws, data protection and privacy laws and export control laws. You must ensure that your use of the Ansarada Services complies with all applicable laws and regulations in your jurisdiction. You must not access or use the Ansarada Services if you are, or are owned or controlled by or acting on behalf of, a person who is the target of sanctions administered by Australia, the United States, the United Kingdom, the European Union or the United Nations (including any person on the US Specially Designated Nationals list).

Compliance with Terms

When you use the Ansarada Services, you agree to comply with all our terms and conditions at https://www.ansarada.com/terms-conditions (“Terms”), as well as the terms of this Acceptable Use Policy. If you do not agree with any of the Terms or cannot comply with them, you must not use the Ansarada Services and you may terminate your agreement with us in accordance with our Terms.

Content Restrictions

When using the Ansarada Services, you agree that you will only upload, post, host, store, communicate or display content that:

• you have all rights required under law and under any applicable contracts to upload, post, host, store, communicate and display (for instance, rights of ownership or a sufficiently broad licence to do so);
• is content that you upload, post, host, store, communicate or display consistent with applicable law;
• does not infringe the intellectual property rights of any other person;
• is not unlawful and does not encourage any activity that may violate any applicable law or contract;
• is not fraudulent and does not constitute a fraudulent misrepresentation or promote fraudulent activity;
• is not and does not contain offensive, abusive, sexually obscene content, or content that is harmful to minors;
• is not libellous or defamatory;
• is not discriminatory in respect of any individual or group;
• is not unsolicited, unwanted or harassing;
• is not a mass email or other commercial message, promotion, offer, advertisement, or solicitation (also known as “spam”);
• does not contain viruses, malware, trojan horses, worms, or any other malicious or harmful program or code; and
• does not give rise to any civil or criminal liability for you or us.

In particular, you must not upload, post, host, store, communicate or display content that incorporates any sensitive data without having the explicit consent of the individuals to whom the sensitive data relates or other clear lawful grounds to do so. This may include any personal data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic data, biometric data used for the purposes of uniquely identifying a natural person, data concerning health or data concerning a natural person's sex life or sexual orientation.

Authorised Integrations and Automated Access

Nothing in the Conduct Restrictions or Web Scraping sections below prohibits access to the Ansarada Services by a feature, application, or integration (including AI-based tools and agents) that: (a) Ansarada makes available or expressly authorises for use with the Ansarada Services (including via Ansarada's published APIs or OAuth-based authorisation flows); and (b) you or your organisation have expressly authorised to access your account or a Transaction Room.

Any such authorised access remains subject to: (i) the scope of permissions granted at the time of authorisation; (ii) any published rate limits, fair-use, or technical restrictions Ansarada may impose; and (iii) clause 8(a)(iv) (Integration with Non-Ansarada Applications) of the Terms. You remain responsible for the acts of any such integration or application, including ensuring its use does not exceed the access it was authorised to have.

Login Credentials

Your login details for the Ansarada Services are personal to you. You must not share them with any other person, register or use any login for group purposes or as a shared or role-based account, or allow anyone else to do so. You must take all reasonable steps to keep your login details secure, and you must notify us promptly if you know or suspect that any other person has learned or used your login details. We may block, without notice, any login that we reasonably believe is being used as a shared or role-based account.

Conduct Restrictions

You agree that you will not:

• access or use the Ansarada Services if you are a direct competitor of ours or of our related companies (except with our prior written consent), or access or use the Ansarada Services for any competitive purpose;
• access, use, alter or interfere with any areas of the Ansarada Services that you are not authorised to access;
• check or test the vulnerability of any of our systems or networks without our prior written consent, or breach or circumvent any security or authentication mechanism;
• disassemble, decompile, reverse-engineer, modify or create derivative works from any component of the Ansarada Services (except to the extent applicable law does not permit this restriction), or use any automated means to collect information from the Ansarada Services (except as permitted under “Authorised Integrations and Automated Access” above);
• sell, lease or sublicense any part of the Ansarada Services or the content contained within or hosted on the Ansarada Services;
• attempt to destabilise, interrupt or overload our infrastructure by placing unreasonable burdens on our resources, including by sending requests to our systems more rapidly than could be achieved by a human user;
• misuse the Ansarada Services by tampering with their normal operation, or trying to access them using a method or interface other than those we provide;
• transmit any viruses, malware, trojan horses, worms, or other types of malicious or harmful software or code, or links to such software or code, onto or through the Ansarada Services, and you must check all content with up-to-date, industry-standard virus detection tools before uploading or transmitting it to the Ansarada Services;
• impersonate another person or organisation, including any of our employees, or misrepresent your identity;
• reproduce, communicate, adapt, record, transfer, publish, perform, display, broadcast, distribute, offer or make available any of the content contained within or hosted on the Ansarada Services in contravention of any applicable law or in breach of any person's intellectual property rights;
• use any content or information obtained through the Ansarada Services for any commercial purpose, or reproduce, post or publish any copyrighted or proprietary material obtained through the Ansarada Services, unless the owner or provider of that content or material has expressly permitted you to do so;
• remove or amend any intellectual property notices contained in or displayed on the Ansarada Services;
• share your login details with any other person, or use another person's login details for the Ansarada Services;
• breach another person's privacy, for example by posting their personal information without first obtaining their consent or having another lawful ground(s) to do so;
• use any personal information about other users of the Ansarada Services for any purpose other than legitimate business purposes relating to the transaction or project for which it was made available to you; or
• permit, enable or assist any other person to do any of the things described above.

Web Scraping

You must not use conduct or attempt to conduct web scraping of any part of our websites and/or the other Ansarada Services, including any content contained within or hosted on the Ansarada Services.

This does not apply to automated access via a feature, application, or integration expressly authorised under “Authorised Integrations and Automated Access” above.

Monitoring

We may monitor use of the Ansarada Services electronically at any time. We may disclose information about your use of the Ansarada Services where necessary to comply with applicable law or a request from a government or regulatory authority, to operate the Ansarada Services properly, or to protect us or our customers, in each case in accordance with our Privacy Policy. Your use of the Ansarada Services may also be audited by regulators, your employer, and the customer that invited you to the relevant Transaction Room and its advisors.

Ansarada Confidential Information

All non-public information about the Ansarada Services that you obtain through your use of them, including our security protocols, software, code, documentation, page design and features (“Ansarada Confidential Information”), is our confidential information. You must keep Ansarada Confidential Information strictly confidential, use the highest degree of care to protect it, and not publish, disclose, copy or use it for your own benefit or for the benefit of any third party without our prior written consent. This section does not apply to documents or other content uploaded to a Transaction Room, which are governed by your arrangements with the owner of that content.

Violations

If you fail to comply with this Policy, we reserve the right to immediately suspend your account and/or your access to the Ansarada Services, without liability for us (to the extent permitted by law). We are also entitled to immediately remove any content you upload, post, host or transmit that we consider or suspect to be in breach of this Policy or any of our other terms and conditions, without prior notice to you and without liability for us (to the extent permitted by law).

Our rights to suspend your account and to remove content do not limit any other rights or remedies that may be available to us.

If your access to the Ansarada Services is suspended or terminated for any reason (including on completion of the relevant transaction or project, or at the request of the customer that invited you), you must immediately stop accessing and using the Ansarada Services and, if we or that customer request it, promptly destroy all materials obtained through the Ansarada Services (including downloaded documents, screen copies, cached files and Ansarada Confidential Information) and confirm in writing that you have done so, except to the extent you are required by law to retain them.

Updating this Policy

We will inform you of any changes to this Policy by posting the updated Policy on our websites, and any changes will take effect from the date on which we post the new Policy. If we make a significant change to this Policy, we will take reasonable steps to notify you prior to the change taking effect. If you do not agree with (or cannot comply with) any change we make to this Policy, you must not use the Ansarada Services.

My Documents Users

If you use our My Documents program, you must also comply with the My Documents Program Terms at https://www.ansarada.com/legal-policies/my-documents-program-terms (“My Documents Terms”). This Policy continues to apply to your use of My Documents. If there is any inconsistency between this Policy and the My Documents Terms in relation to My Documents, the My Documents Terms prevail to the extent of the inconsistency.
